GENERAL OFFER OF PRIVACY TERMS

1. Offer of Terms

• Provider offers the same privacy protections outlined in the Data Protection Agreement (DPA) with Rocklin USD to any Local Education Agency (LEA) accepting this General Offer.

• This General Offer will specifically apply to privacy protections.

• Provider's signature does not bind them to other terms (e.g., price, term, schedule of services) not included in the DPA.

• Provider and Subscribing LEA may agree to modify the data provision to cater to the unique needs of the Subscribing LEA.

2. Conditions for Withdrawal

• The Provider reserves the right to withdraw the General Offer under the following circumstances:

  1. Material change in applicable privacy statutes.

  2. Material change in services/products listed in the originating Service Agreement.

  3. Three years after the date of Provider's signature on this form.

3. Notice of Acceptance

• Subscribing LEAs must send the signed Exhibit "E" to the Provider via email at abheek@knowt.com.

4. Provider Information

• Provider: Knowt Inc.

• Date: 08/05/2024

5. Subscribing LEA Information

• A Subscribing LEA, by signing a separate Service Agreement with the Provider, accepts the General Offer of Privacy Terms.

• They will be bound by the same DPA terms for the duration of the agreement between Rocklin USD and the Provider.

6. Effectiveness of Offer

• The General Offer's effectiveness is contingent upon the Subscribing LEA delivering notice of acceptance to the Provider as detailed in Article VII, Section 5.
